Article
I - Organization
-
The name of the organization shall be the South
Shore Marion County Adult Leadership Team.
Article II - Purposes
-
To promote civic involvement of its members.

To provide leadership training for members and new
members.

To identify worthwhile projects which members can
undertake for the betterment of Marion County.
-
To provide a means of contact and communication
to keep members informed and involved.
Article III - Membership
-
Membership in this organization shall be open to
those who are at least 18 years of age, who are
attending or who have completed the Leadership Training
Class.
Article IV - Meetings
-
Meetings shall be held throughout the year, as needed
to train and develop new members, and to pursue
those projects identified as worthy.

Meetings will be held at various locations throughout
the county, as needed to accommodate size of participation
and purpose of meeting.

The Administrator shall inform each member of the
date and time of each meeting by phone, U.S. mail
or E-Mail.
- An
annual meeting shall be held in September to conduct
the business of this organization.
Article
V - Voting
- All
members who have received leadership training or
are currently receiving such training may vote on
all matters coming before this organization. All
votes shall be by voice. Issues voted upon shall
be decided by a simple majority of qualified voters.
Article VI - Order of Business

Reading of Minutes of last meeting.
- Reports
by committees.
- Reports
by officers.
- Old
and unfinished business.
- New
business.

Announcements and adjournment.
Article VII - Board of Directors
-
The business of this organization shall be managed
by a Board of Directors consisting of 3 members,
together with the officers of the organization.

The directors to be chosen for the ensuing year
shall be chosen at the annual meeting of this organization,
and shall serve for a term of one year.

The Board of Directors shall have the control and
management of the affairs and the business of this
organization. Such Board of Directors shall only
act in the name of the organization when it shall
be regularly convened by its chairman after due
notice to all the directors of such meeting.

Three members of the Board of Directors shall constitute
a quorum. Each director shall have one vote, and
such voting may not be done by proxy.
- The
Board of Directors may make such rules and regulations
covering its meetings as it may in its discretion
determine necessary.

Vacancies in the Board of Directors shall be filled
by a vote of the majority of the remaining board
members for the balance of the year.
-
The President of the organization by virtue of his/her
office shall be Chairman of the Board of Directors.
-
The Board of Directors shall select from one of
their members an Administrator, who shall act as
Secretary and Treasurer.
Article
VIII - Officers
-
The initial officers of the organization shall be
as follows: a. President; b. Vice President; c.
Administrator
-
The President shall preside at all membership meetings.
He/she shall appoint all committees, temporary or
permanent. He/she shall see all books, reports,
and certificates required by law are properly kept
or filed. He/she shall be one of the officers who
may sign the checks or drafts of the organization.

The Vice President shall in the event of the absence
or inability of the President to exercise his/her
office become President of the organization with
all the rights, privileges and powers as if he/she
had been duly elected President.

The Administrator shall keep the records of the
organization. It shall be his/her duty to file any
certificate required by any statute, federal or
state. He/she shall be one of the officers required
to sign checks and drafts of the organization. He/she
shall be present to the membership at any meetings
any communication addressed to him/her as Administrator
of the organization. He/she shall attend to all
correspondence of the organization and shall exercise
all duties incident to the office of Administrator.
He/she shall have the care and custody of all monies
belonging to the organization, and shall be solely
responsible for such monies or securities of the
organization.

Officers shall by virtue of their office be members
of the Board of Directors.
Article
IX - Amendments
-
These bylaws may be altered, amended, repealed or
added to by an affirmative vote of not less than
two thirds of the members present.
These bylaws were approved at a meeting of the members
of the South Shore Marion County Adult Leadership
